Acquisition & Privatisations of Network Operators

Advising as lead counsel for a leading bidder on a competitive tender process for the privatisation of Telekom Srbija, including regulatory and telecom analysis and recommendations for Serbia, Bosnia and Montenegro, advice on the tender process, drafting transaction documentation and corporate structuring

Advising on corporate and structuring matters on the participation in the sale of a share in the Croatian fixed network provider T-Hrvatski Telekom to Deutsche Telekom group.

Advising a shortlisted bidder for Telekom Slovenije . Work included due diligence, drafting of comprehensive non-binding and binding bids, work on the share purchase agreement and the shareholders agreement, as well as detailed advice on all aspects of takeover law and squeeze-out of minority shareholders.

Advising América Móvil, S.A.B. de C.V., the leading provider of wireless services in Latin America, on its acquisition of approximately 21% of the shares in Telekom Austria AG, including telecom and regulatory analysis, corporate matters and transaction documentation.

Advising Telekom Austria on the acquisition of Cosmofon Macedonia. Work included regulatory and telecom analysis, merger control issues and potential business divestment, advice on the bid process, and due diligence on the target company.

Advising on the acquisition of the broadcasting business of the Bulgarian Telecommunication Company, comprising 2,500 towers and masts, collocation and microwave transmission to MNOs, TV & Radio broadcasting transmission, and a satellite uplink station

Advising on the acquisition of an independent Tier 3+ Carrier Neutral data centre in Bulgaria, including regulatory and compliance analysis and recommendations, due diligence and transaction documentation.

Advising Österreichische Bundesbahnen, the Austrian Federal Railways, on the sale of its telecommunications business to tele.ring, an Austrian mobile telecom capacity and services provider

Advising Hong Kong listed CITIC Telecom International as counsel in CEE for the acquisition of  European carrier Linx Telecom’s CEE and Central Asia business, including advice on regulation and licensing requirements and due diligence.

Advising Hong Kong listed CITIC Telecom International on a joint venture with Reliance Communications, for joint control of the  Global Cloud Xchange undersea cable operations, and merger control filings.

Advising an Austrialian listed connection provider, on the acquisition of  an internet peering and connectivity  provider in Bulgaria  and  drafting and negotiation of a comprehensive outsourced services arrangement.

Assisting Wind International Services (Italy) in relation to the proposed acquisition of 100% of the international wholesale business of Invitel Holdings.

Sector liberalisation & unbundling

As strategic counsel, advising an LTE operator on network access  rights and infrastructure competition  under EU law, in particular on infrastructure vs. service competition, and essential facility access. Actions included submissions on spectrum  allocation, bandwidth placing, spectrum hording and access for the promotion of new technology and competition.

Advising on the legislative history of sectoral liberalisation rules and analysis vis-à-vis  third country, international organisation and international treaty obligations. Advice and recommendations on implementation in a CEE country.

Advising on the unbundling of electricity generation, public provision and trading activities from the transmission network activities of Bulgarian Energy Holding. Tasks included separation plan for structure, intra-group transfer of employees, licenses and assets, compliance with EU directives and advice on the impact and required changes to the legislative framework

Regulatory, competition and telecom analysis and recommendations related to the implementation of the 2009 EU Telecom Package in Serbia, Bosnia and Montenegro by the respective  national regulatory authorities

Advising on all aspects of corporate governance structuring and regulatory compliance for separation following market liberalisation in Bulgaria for the provision of regulated wholesale network access services and bundled services across fixed and mobile and regulated and unregulated products

Advising as lead project counsel on all legal aspects of the development of the offshore part of the South Steam gas pipeline. Full regulatory advice on the application of the Third Energy Package and third country access to European infrastructure vis-à-vis the vertically integrated structure of Gazprom

Advising Google on the contracting and roll out of cloud based applications to an Austrian banking group, including data protection, data security, and  sectoral regulatory compliance

Advising Formula 1 Management which controls the contracts, distribution and commercial management of rights and licences of the Formula One circuit on licences for its B2C mobile app on a premium charging model, including at-event and geo-location services

Advising Spotify  on the launch and roll  out in ten countries of Spotify’s digital music streaming service, including  contracting and data protection advice.

Advising Google on a license agreement for the concession of the necessary licenses for Google’s on-line video sharing service, involving the licensing of the worldwide repertoire managed by the collecting societies and treatment of ‘sync-rights’, which are not administered by collecting societies.

Advising UBER in several CEE countries on all IT, data protection, compliance and regulatory matters for the launch and roll out of the Uber service

Advising Swisscom Broadcast on IP and data protection issues related to the  establishment of  a platform for the streaming of foreign and domestic TV programmes across devices and across jurisdictions.

Network Access & Numbering

Advising, drafting and negotiating all interconnection and collocation (masts and duct network) reference offers  and terms and conditions for an incumbent operator following privatisation and introduction of market liberalisation.

Advising a national incumbent  and negotiating with the national regulatory authority on timing and conditions for the implementation and points of local loop unbundling and bitstream access for alternative operators.

Advising a CEE tower company on the renegotiation of tower & transmission agreements with commercial media partners following digitalization

Advising cloud telephony provide NFON on number portability with a Polish network operator, including regulatory intervention and advice on competition law obligations for contracting.

Advising a CEE mobile network operator before the EC Commission on regulatory and competition strategy for national roaming access and pricing models

Advising an  LTE operator  on all regulatory, commercial and financial matters in respect of the negotiation and implementation of the first national roaming agreement  in the territory, including regulatory intervention and  advice on spectrum dominance  and hording.

Advising Ericsson on the acquisition of vendor and technology  businesses in Bulgaria, Romania, Serbia and Ukraine, including due diligence, structuring and transaction documentation, asset separation and transfer, IT and intellectual property issues and employee arrangements.

Advising US multinational Avaya on a procurement and licensing arrangement with Hrvatski Telekom, including advice on IP licensing and retention and sub-licence terms for client subsidiaries

Advising on  HTC on multiple matters  including IT and data protection aspects of a customer management  tool , on terms and conditions for  a geo-location-based, social networking and content sharing service, and on smartphone supply arrangements and warranties.

Advising Amdocs on multiple matters including the acquisition of assets of the Comverse Group in Austria, Bulgaria and Hungary, and on corporate and commercial agreements and employee arrangements in Bulgaria.

Advising a US multinational company providing design, manufacturing, distribution and aftermarket services to original equipment network vendors and manufacturers on an outsourcing agreement  in Ukraine

Advising Dell Group on the sub-contracting and outsourcing of its vendor obligations under a European customer supply agreement to a subcontractor in China.
